Payment Terms
The client will make payment according to the payment schedule outlined in the project proposal. The company reserves the right to suspend services if payment is not received on time.
Intellectual Property
The company retains all intellectual property rights in the website and its underlying technology, unless otherwise agreed upon in writing. The client retains the rights to any content provided by the client and grants the company a non-exclusive, perpetual license to use such content in the development and operation of the website.
Confidentiality
The company agrees to maintain the confidentiality of any confidential information provided by the client.
Warranties
The company warrants that it has the necessary skills, experience, and qualifications to perform the services. The client warrants that it holds all necessary rights in any content provided by the client.
Limitation of Liability
The company's liability to the client for any loss or damage arising out of or in connection with these terms and conditions shall be limited to the total amount paid by the client under the project proposal.
Termination
Either party may terminate these terms and conditions at any time by giving written notice to the other party.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the company is incorporated.
Entire Agreement
These terms and conditions constitute the entire agreement between the parties and supersedes all prior representations, negotiations, understandings, and agreements between the parties.
